UK regulator investigates Boeing takeover of Spirit AeroSystems
The UK’s Competiton and Markets Authority (CMA) is investigating Boeing’s planned takeover of long-term partner Spirit AeroSystems.
The competition regulator announced on June 30, 2025, that it had officially launched a merger enquiry and that the process of ensuring the proposed deal meets the requirements of the Enterprise Act 2002 had begun.
On June 26, 2025, the powerful government body said that it was “considering whether it is or may be the case that this transaction, if carried into effect, will result in the creation of a relevant merger situation under the merger provisions of the Enterprise Act 2002”.
An additional concern is whether the Boeing buy-out of Spirit AeroSystems will “result in a substantial lessening of competition within any market or markets in the UK for goods or services”.
CMA is inviting comments from any interested party and has set a phase one decision deadline on August 28, 2025.
Details regarding the Boeing –Spirit merger were first made public in Summer 2024, with Boeing expected to pay around $4.7 billion under the terms of the agreement.
Boeing made the takeover of Spirit AeroSystems a top priority in its attempts to regain industry confidence of its production infrastructure following the incident on January 5, 2024, when a door plug separated from an Alaska Airlines 737-9 shortly after takeoff.
In July 2024, Spirit AeroSystems CEO Pat Shanahan said that the merger would lead to Boeing becoming a “faster and more nimble” organization.
Several UK Members of Parliament have previously noted that Spirit AeroSystems is a “key employer in Northern Ireland and an integral part of the UK aerospace supply chain”.
Spirit AeroSystems also employees UK staff in Scotland at Glasgow Prestwick Airport (PIK).
Spirit AeroSystems manufactures fuselage sections for both Boeing and Airbus. Airbus is set to take over the parts of Spirit AeroSystems involved in building its aircraft.
